These Terms and Conditions ("Terms") govern your access to and use of the ESEN Analytics Systems LLC platform ("Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the Service immediately.

1. Nature of the Service

ESEN Analytics Systems LLC provides a cloud-based Software-as-a-Service (SaaS) platform offering AI-powered financial research tools, stock ranking models, screening systems, analytics dashboards, data visualization, and market monitoring features.

The Service is software-based and informational in nature. It is designed to help users explore structured market data, research frameworks, and analytical outputs through a subscription-based platform.

2. No Investment Advice

The Service does not provide investment advice, personalized recommendations, financial planning, brokerage services, trade execution, or discretionary account management. All information is provided for educational, research, and analytical purposes only.

Users are solely responsible for their own financial decisions and should consult a qualified professional before making investment or financial decisions.

3. No Brokerage Activity or Custody of Funds

ESEN Analytics Systems LLC is a technology provider and not a broker-dealer, registered investment advisor, financial planner, asset manager, or custodian. We do not hold, receive, control, manage, or take custody of client funds or securities.

Any connections to third-party brokerage platforms, if enabled by the user, remain fully under the user's independent control and responsibility.

4. User Responsibility

Users remain fully responsible for evaluating any information, analytics, rankings, screening outputs, or research materials provided through the Service. Use of the Service does not replace independent judgment, due diligence, or professional advice.

5. Subscriptions & Billing

Access to certain parts of the Service is provided on a subscription basis. Paid subscriptions are billed in advance through our third-party payment processor, including Stripe where applicable.

By purchasing a subscription, you authorize recurring billing according to the selected billing cycle unless the subscription is canceled before renewal. Subscription fees are charged for software access and digital subscription services only.

6. Cancellation & Refunds

Subscriptions may be canceled at any time. Cancellation stops future billing but does not automatically create a refund for previously billed periods, unless otherwise stated in our Refund Policy or required by applicable law.

If a separate Refund Policy is published on the Service, that policy shall control refund eligibility and handling.

7. Acceptable Use

You agree not to misuse the Service, interfere with its operation, attempt unauthorized access, scrape or extract data at an abusive scale, reverse engineer proprietary features, or use the Service for unlawful, fraudulent, or abusive purposes.

8. Intellectual Property

All software, proprietary models, analytics, visualizations, research outputs, branding, text, graphics, and content provided through the Service are the intellectual property of ESEN Analytics Systems LLC or its licensors.

Unauthorized copying, resale, redistribution, reverse engineering, or commercial reuse is strictly prohibited unless expressly authorized in writing.

9. Third-Party Services

The Service may reference or integrate with third-party services, data providers, payment processors, or brokerage platforms. ESEN Analytics Systems LLC is not responsible for the availability, accuracy, policies, or performance of third-party services.

10. No Guarantees

Past performance, historical data, rankings, backtests, model outputs, or analytical results displayed on the Service do not guarantee future outcomes. No representation or warranty is made regarding profitability, investment performance, or the future behavior of any market, asset, or analytical model.

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or uninterrupted availability.

12. Limitation of Liability

To the maximum extent permitted by law, ESEN Analytics Systems LLC shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to financial losses, lost profits, lost data, missed opportunities, service interruptions, or market-related losses arising from or related to use of the Service.

Use of the Service is entirely at the user's own risk.

13. Suspension or Termination

We reserve the right to suspend, restrict, or terminate access to the Service at our discretion if we believe a user has violated these Terms, misused the platform, or created legal, operational, or security risk.

14. Modifications to the Service or Terms

We may update, modify, suspend, or discontinue portions of the Service and may revise these Terms from time to time. Continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.
